Product liability

Nordic Reef ApS shall only be liable for injury to people or damage to property covered by mandatory rules under Danish law. Nordic Reef ApS shall not be liable for any other damage or injury. Neither shall product liability apply to damage or injury which can be attributed to fault or neglect by the customer. Injury to third parties or damage to the property of third parties, which entitles such third parties to compensation, shall be compensated by the customer, regardless of whether the damage can be attributed to faults or omissions committed by Nordic Reef ApS. This shall not apply if the damage is covered by mandatory rules under Danish law. Under no circumstances, shall product liability cover operating loss, loss of time, loss of profits or any other indirect loss. If the customer is met by any claim from a third party regarding product liability arising from goods delivered by Nordic Reef ApS, the customer shall immediately inform Nordic Reef ApS of such claim and shall in writing on a continuous basis during such matter keep Nordic Reef ApS informed. If the customer does not keep Nordic Reef ApS properly informed the customer forfeits any claim against Nordic Reef ApS regarding such product liability. Nordic Reef ApS is entitled to file a claim against the customer at the same venue as a third party has filed a claim against Nordic Reef ApS in relation to a dispute concerning product liability.

Disputes

Any dispute between Nordic Reef ApS and the customer will be settled by the City Court of Aarhus, Denmark. Danish law, except for any rules concerning choice of law and except for the United Nations Convention on Contracts for the International Sales of Goods ("CISG"), shall apply. If one or more of the provisions in these terms and conditions are held to be invalid, the invalidity shall not affect the remaining provisions.

Force Majeure

Nordic Reef ApS is exempt from liability for defects or delayed fulfilment of agreements resulting from force majeure, war, riots, civil disturbances, government intervention or intervention by official authorities, fire, strikes, lock-out, export and/or import bans, non-delivery or defective deliveries from subsuppliers, shortage of labour, fuel or power, or any other cause outside the control of Nordic Reef ApS, and which is certain to delay delivery of the items sold.
